# Terms of Service

> Terms governing your use of Smartbills

## 1. Acceptance of Terms

By accessing or using Smartbills ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

## 2. Description of Service

Smartbills provides expense management software including:

* Expense tracking and receipt capture
* Expense report creation and submission
* Approval workflow management
* Integrations with third-party services
* Mobile and web applications
* API access

## 3. Account Registration

### 3.1 Account Creation

To use Smartbills, you must:

* Create an account with accurate information
* Be at least 18 years old
* Have authority to bind your organization (for business accounts)

### 3.2 Account Security

You are responsible for:

* Maintaining the security of your account credentials
* All activities that occur under your account
* Notifying us immediately of any unauthorized access

## 4. Subscription and Payment

### 4.1 Pricing

* Subscription plans and pricing are available at smartbills.io/pricing
* Prices may change with 30 days notice
* All fees are non-refundable unless otherwise stated

### 4.2 Billing

* Subscriptions are billed in advance on a monthly or annual basis
* Payment is due upon invoice
* Late payments may result in service suspension

### 4.3 Free Trial

* Free trials may be offered at our discretion
* No payment required during trial period
* Full functionality during trial unless otherwise specified

## 5. Acceptable Use

You agree not to:

* Use the Service for any unlawful purpose
* Upload malicious content or code
* Attempt to gain unauthorized access
* Interfere with the Service's operation
* Violate any third-party rights
* Use the Service to process fraudulent expenses

## 6. Data and Privacy

### 6.1 Your Data

* You retain ownership of all data you submit
* You grant us license to process your data to provide the Service

### 6.2 Data Security

* We implement industry-standard security measures
* We maintain SOC 2 Type II compliance
* Data is encrypted at rest and in transit

## 7. Intellectual Property

* Smartbills and its features are our intellectual property
* You may not copy, modify, or distribute our software
* Our trademarks may not be used without permission

### 7.2 Feedback

* Feedback you provide may be used to improve the Service
* We may implement suggestions without compensation

## 8. Third-Party Services

* The Service integrates with third-party services
* Your use of integrations is subject to their terms
* We are not responsible for third-party service issues

## 9. Service Availability

### 9.1 Uptime

* We strive for 99.9% uptime
* Scheduled maintenance will be announced in advance
* Unscheduled downtime may occur for emergency maintenance

### 9.2 Modifications

* We may modify the Service at any time
* Material changes will be communicated in advance
* Continued use constitutes acceptance of changes

## 10. Termination

### 10.1 By You

* You may cancel your subscription at any time
* Access continues until the end of the billing period
* You may request data export before termination

### 10.2 By Us

* We may terminate for Terms violation
* We may terminate with 30 days notice for any reason
* Refunds for prepaid amounts at our discretion

## 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

* Our liability is limited to fees paid in the past 12 months
* We are not liable for indirect, incidental, or consequential damages
* We are not liable for data loss beyond reasonable recovery efforts

## 12. Indemnification

You agree to indemnify Smartbills against claims arising from:

* Your use of the Service
* Your violation of these Terms
* Your infringement of third-party rights

## 13. Governing Law

* These Terms are governed by the laws of Quebec, Canada
* Disputes will be resolved in the courts of Montreal, Quebec
* You waive any objection to this jurisdiction

## 14. Changes to Terms

* We may update these Terms at any time
* Material changes will be communicated via email
* Continued use constitutes acceptance
